These Terms and Conditions (“Terms“) govern your access to and use of the Simple Base Swap mobile application, website, and related services (collectively, the “Service“). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
Simple Base Swap is operated by Dedaldev DOO, Vojvodjanska 42, Belgrade, Serbia (referred to as “Company,” “we,” “us,” or “our“).
Definitions
• Application refers to the Simple Base Swap mobile software program provided by the Company.
• Website refers to the official Simple Base Swap site, accessible at simplebaseswap.com.
• Digital Assets means cryptocurrencies, tokens, and other blockchain-based digital assets supported by the Service.
• Wallet means the non-custodial mobile wallet functionality provided through our Service.
• Swap means the token exchange functionality that allows users to exchange one Digital Asset for another through decentralized protocols on the Base network.
• Recovery Phrase means the secret seed phrase used to restore access to your Wallet.
• Base Network means the Layer 2 blockchain network on which our Service operates.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.
Non-Custodial Nature of Service
Simple Base Swap is a non-custodial platform. This means:
• We do not store, hold, or have access to your private keys or Recovery Phrase;
• We cannot recover your Wallet if you lose your Recovery Phrase;
• We cannot reverse, cancel, or modify any transactions you execute;
• We do not have custody of or control over your Digital Assets;
• You are solely responsible for the security and backup of your wallet credentials.
WARNING: If you lose your Recovery Phrase, you will permanently lose access to your Digital Assets. We cannot help you recover lost credentials.
Eligibility
To use our Service, you represent and warrant that:
• You are at least 18 years of age or the age of majority in your jurisdiction;
• You have the legal capacity to enter into a binding agreement;
• You are not located in, under the control of, or a national or resident of any country subject to United States, European Union, or United Nations sanctions;
• You are not on any sanctions list, including the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce’s Denied Persons List;
• Your use of the Service does not violate any applicable laws or regulations.
Description of Services
Wallet Services
Our Service allows you to create or connect a non-custodial wallet, store and manage your Digital Assets, view your transaction history and balances, and interact with decentralized applications (dApps) on the Base network.
Token Swap Services
The Swap functionality enables you to exchange Digital Assets through decentralized protocols. All swaps are executed on-chain through smart contracts. We do not act as a counterparty to any swap transaction.
Fees and Charges
You may be charged fees for using certain features of the Service, including:
• Network transaction fees (“gas fees”) charged by the Base network;
• Swap fees associated with token exchanges;
• Any other applicable fees disclosed before you confirm a transaction.
All fees will be displayed before you confirm a transaction. We are not responsible for network fees charged by the Base network or any third-party protocols.
Third-Party Services
Our Service may interact with third-party decentralized protocols, exchanges, and applications. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
Acceptable Use Policy
You agree not to use the Service to:
• Violate any applicable laws, regulations, or third-party rights;
• Engage in money laundering, terrorist financing, or other financial crimes;
• Transmit Digital Assets that are proceeds of criminal activity;
• Attempt to circumvent security measures or interfere with the Service;
• Engage in fraudulent or deceptive activities;
• Distribute malware, viruses, or other harmful code;
• Infringe upon our intellectual property rights or those of others.
User Representations and Warranties
By using our Service, you represent and warrant that:
• All Digital Assets you use are legally obtained and belong to you;
• You understand the inherent risks of blockchain technology and Digital Assets;
• You have sufficient knowledge to evaluate the risks of your transactions;
• You are solely responsible for your trading decisions;
• You will comply with all applicable tax obligations.
Acknowledgment of Risks
You acknowledge and accept the following risks associated with using the Service:
• Price Volatility: Digital Asset prices are highly volatile and may lose significant or all value;
• Irreversible Transactions: Blockchain transactions are final and cannot be reversed;
• Smart Contract Risks: Smart contracts may contain bugs or vulnerabilities;
• Network Risks: Blockchain networks may experience congestion, delays, or failures;
• Regulatory Risks: Laws and regulations regarding Digital Assets may change;
• Security Risks: Despite security measures, breaches may occur;
• Loss of Access: Losing your Recovery Phrase results in permanent loss of access to your assets.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses. We make no warranties regarding the accuracy, completeness, or reliability of any information provided through the Service.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE BASE SWAP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE SERVICE.
In no event shall our total liability exceed one hundred US dollars (USD $100) or the equivalent in your local currency.
Indemnification
You agree to indemnify, defend, and hold harmless Simple Base Swap and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
• Your use of the Service;
• Your violation of these Terms;
• Your violation of any applicable laws or third-party rights;
• Any transactions you conduct through the Service.
Intellectual Property
All content, trademarks, logos, and intellectual property related to the Service are owned by Simple Base Swap or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.
Termination
We may terminate or suspend your access to the Service at any time, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service immediately ceases. Provisions that by their nature should survive termination shall remain in effect.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or in the courts of Serbia, as applicable under Serbian law.
No Financial Advice
Nothing on our Service constitutes financial, investment, legal, or tax advice. All information is for informational purposes only. You should consult qualified professionals before making any financial decisions. We are not a broker, dealer, or financial advisor.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our Website and updating the “Last Updated” date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
